Dipeitro is owed a boatload of money, something to the tune of $50 million +, is chronically injured and will probably not be a useful long term investment for any sane NHL franchise. Plus his contract is toxic to a cap sensititive team. Just based on the money factor alone, the first overall pick is probably not enough of an incentive for anybody to take on that kind of a burden.
Seriously, getting the first overall for Toronto would be equally crippling as it would be beneficial. The Isles on the other hand would be absolved of the worst contract in NHL history just like that.

As an Isles fan I'm not at the point yet where I've lost all hope in DiPietro staying healthy, so I definately pass on this deal, but if he has any injury issues next year I'd probably look into a trade like this. We are nowhere near the cap so the need to trade DP right now is very, very small.
If anything they will wait till A) DP has another long injury absence, B) They are up against the cap, C) They have a solid goaltending backup/prospect waiting in the wings, and D) They don't have the 1st overall pick.
