Its fair, in my opinion. Last 1-2 years might sting, but a slight overpay isn't going to be the end of the world. At this point Sens kind of need to keep Neil.
Under today's cap, it's equivalent to what a 1.06M contract was in 2005.

The way I see it, chris neil might lose some speed. He might lose some offensive ability. He might fight less as he ages. I'd still pay that 37 year old chris neil for his leadership abilities, experience (10 seasons/81 playoff games as of now), and attitude on and off the ice.

Worst case scenario he becomes our 13th forward. 2nd worst case scenario he gets injury prone (in which case we get LTIR relief if we're a cap ceiling team, which I doubt).
