NOPE ... he's played 166 NHL games, he's NOT EXEMPT from Waivers, only thing a 2-way contract would do is provide for two different levels of Salary compensation, one if he's playing in the NHL and one if he's playing in the minors.

Also from CapGeek ...

Keaton Ellerby's qualifying offer is a minimum of $735,000.

Because his base salary of $700,000 is greater than $660,000 and less than $1,000,000, it is increased by 5 percent for the purposes of his qualifying offer.

NOTE: It must be a one-way qualifying offer IF a) the player appeared in 180 or more NHL games in three previous seasons; b) the player appeared in 60 or more NHL games the previous season; and c) the player did not clear waivers during the previous season. Backup goaltender appearances count as games.

CBA REFERENCE: Section 10.2 a (P. 30-31)

He was close to the 180 @ 166 games, and didn't play 60 (49) games the season before (tough not sure how a SHORTENED season will impact that requirement though ? if it had been a normal 82 game season, he would have played the minimum 60 games most likely, and thus would have had to be a one-way qualifying offer !)
