I think it would count even if he was suspended. I could be wrong, but I remember when the Sharks traded for a basically-retired Malakhov, he was suspended and still counted against the cap.

I am pretty sure you are correct. The entire purpose of the 35+ rule would be defeated by allowing teams to get rid of those cap hits just by suspending players. It's the entire, or at least the biggest single point of the rule (at least I'm under that impression). Be careful what contracts you're giving to players of that age, because even if they retire, they'll count against the cap. Suspending retired players still on contract is the typical reaction for a team and isn't supposed to get around the 35+ rule.

Didn't Anaheim suspend Neidermayer a few years ago and got cap releif for it though?

I'm sure you meant to say that they wouldn't have to pay him. However, that's not really a great appeal for Edmonton. They're not really penny-pinchers and are trying to get better. The only way that they would take on the additional cap hit plus the loss of a goalie when they don't have a replacement readily available is if they get some real incentive like a pick or a player they can use.
