I agree with the others, the title is a bit misleading :S

the only player that interests me from the oilers is MPS..maybe something along the lines of MPS+Ryan O'Marra for Dubinsky?

Title is VERY misleading... Read on phone while doing pre July 4th stuff.

Won't happen. Unless we're talking an elite talent that has MAJOR impact NOW, Dubinsky isn't being moved. Giant part of the core, defines the mold of the Rangers, and if there's any player Torts has tried to push/mold since getting here... It's Dubinsky.

Not the Rangers of old. Not happening.

As others have stated, the Rangers have no need to trade Dubinsky, unless there's a clear upgrade, which your proposal is not. Just because just about every Eklund rumor regarding the Rangers involves trading Dubinsky, it does not mean he is available. You like Dubinsky? That's great. So do the Rangers. He's an important part of the young core that Tortorella glowingly gushes about being built in NY.

No way O'Marra is a poor 4th line center, I'll ask for Omark, he has great offensive instincts. Paajarvi + Omark + something nice.

I like Dubinsky a lot and don't want to trade him, but how about this deal. Dubinsky and Valentenko for MPS and Oilers 1st in 2012, conditional that it is a top five pick, if not then we get the Oilers 1st and 2nd in 2012 plus MPS. What do you think?

That's fine - and fair - but that's the sort of deal it would need to be. With the Richards signing, the team is now pushing for playoff contention immediately. To trade Dubi for any package that doesn't at least include an equally established player is not going to happen unless the perceived future value is significantly higher, even when risk adjusted for the fact that picks and prospects can bust.

EDIT: the top 5 condition is a bit much.

Conditional that it IS a top five? Who is going to trade a top five pick and a 20 year old rookie who already scored 34 points and has significant upside (was #10 overall in 2009) for Dubinsky? Not an NHL team, that's for sure.
